When you place an order, you make an offer to purchase. SPV ECO FAP reserves the right to accept or reject an order for any reason, at its discretion. An order is not accepted until SPV ECO FAP confirms its acceptance. Payment must be received and processed before the order is accepted. Please review your order carefully before submitting it, as SPV ECO FAP may be unable to accommodate cancellation requests after acceptance. If an order is not accepted, is changed or is cancelled, we will attempt to notify you using the email address, billing address and/or telephone number provided when you placed the order.
Purchases may be returned or exchanged only in accordance with our Refund Policy Refund Policy.
You represent and warrant that your purchases are for personal or household use and not for commercial resale or export.

SECTION 4 - PRICES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect when you submit your order and will appear in your order confirmation email. Unless expressly stated otherwise, published prices do not include taxes, shipping, handling, customs duties or import charges.
Prices published in our online stores may differ from prices offered in physical stores or online or other stores operated by third parties. You represent and warrant that (i) the credit card information you provide is true, correct and complete, (ii) you are duly authorised to use that credit card for the purchase, (iii) your credit card company will honour the charges incurred and (iv) you will pay the amounts charged at the published prices, including shipping and handling charges and all applicable taxes, if any.

SECTION 5 - SHIPPING AND DELIVERY
We are not responsible for shipping or delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs procedures or events beyond our control. Once products are transferred to the carrier, title and risk of loss pass to you.

Our Services, including, without limitation, all trademarks, brands, text, displays, images, graphics, product reviews, video and audio, and their design, selection and arrangement, belong to SPV ECO FAP, its affiliates or licensors and are protected by United States and foreign patent, copyright and other intellectual property laws.

SPV ECO FAP is powered by Shopify, which enables us to provide the Services to you. However, all sales and purchases in our store are made directly with SPV ECO FAP. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and SPV ECO FAP, including any damage, injury or loss arising from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or connected with your purchases and transactions with SPV ECO FAP.

We may terminate this agreement or your access to the Services or any part thereof, at our sole discretion, at any time without notice, and you will remain liable for all amounts due up to and including the termination date.
The following sections will survive any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy and any other provision that by its nature should survive termination.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SPV ECO FAP, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGE OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS OR SIMILAR DAMAGE, WHETHER BASED IN CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, ARISING FROM USE OF ANY SERVICE OR ANY PRODUCT PURCHASED THROUGH THE SERVICES, OR ANY OTHER CLAIM RELATED IN ANY WAY TO USE OF THE SERVICES OR ANY PRODUCT, INCLUDING, WITHOUT LIMITATION, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF USING THE SERVICES OR ANY CONTENT OR PRODUCT POSTED, TRANSMITTED OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

You agree to indemnify, defend and hold harmless SPV ECO FAP, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from any loss, damage, liability or claim, including reasonable legal fees, owed to third parties or arising from (1) your breach of these Terms of Service or the documents incorporated by reference, (2) your violation of any law or third-party rights, or (3) your access to and use of the Services.
We will notify you of any indemnifiable claim, provided that a failure to notify you promptly will not relieve you of your obligations unless you are materially prejudiced. We may control the defence and settlement of such a claim at your expense, including choosing legal counsel, but will not settle a claim that imposes non-monetary obligations without your consent, which must not be unreasonably withheld. You will cooperate in defending indemnified claims, including providing relevant documentation.

SECTION 19 - SEVERABILITY
If any provision of these Terms of Service is held unlawful, void or unenforceable, it will nevertheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion will be deemed severed from these Terms of Service; this determination will not affect the validity or enforceability of the remaining provisions.
